Testimonial Release Agreement

This Testimonial Release Agreement (“Agreement”) governs the submission and use of testimonials, reviews, endorsements, ratings, comments, feedback, video recordings, audio recordings, or other statements (“Testimonial”) provided by you (“Participant”) to One Eighty Business Solutions LLC, DBA 180BIZ (“Company,” “we,” “us,” or “our”).

By submitting a Testimonial, appearing on video or audio, posting feedback in a community or program, or otherwise providing a statement regarding the Company or its offerings, you agree to the terms of this Agreement.

1. Definition of Testimonial

A “Testimonial” includes any statement—written, verbal, visual, or digital—about:

• Company programs
• products or services
• coaching or education
• software or tools
• community participation
• events or workshops
• calls, Q&A submissions, or messages

This includes content intentionally submitted by you and content naturally generated through participation (such as comments posted in a community or recorded during calls).

Permitted participant attributes (as selected by you):

• Name
• Image/photo
• Video
• Audio
• Social media handle
• Business name
• Revenue or result statements
• Location

2. License You Grant to the Company

By submitting or sharing a Testimonial, you grant the Company a perpetual, worldwide, royalty-free, irrevocable, transferable, sublicensable license to:

• use, display, reproduce, publish, distribute
• edit, caption, crop
• create derivative works, translate
• incorporate into marketing, advertising, promotions
• include in educational or training content
• repost on social platforms
• use across all media now known or later developed

Where your Testimonial may appear (selected by you): Website, Sales pages, Social media, Emails, Ads, Print materials

In simple terms, this allows the Company to use your testimonial truthfully and respectfully in normal business contexts, with light edits for clarity/formatting, resizing/cropping for platforms, reposting, translation, and future technology formats (including AI summaries/compilations) without repeatedly asking permission.

3. AI Transformations of Testimonials

You acknowledge the Company may use AI tools to:

• transcribe, summarize, extract, or caption statements
• correct grammar, clarity, or readability
• generate highlight clips or soundbites
• create derivative versions
• repurpose content across platforms
• classify, analyze, or tag content
• generate promotional assets that include your Testimonial

4. Editing & Clarity Adjustments

Editing permission (selected): Yes

The Company may make reasonable edits for:

• clarity
• length
• grammar
• formatting
• removing confidential/irrelevant details
• correcting transcription errors
• removing sensitive information

The Company will not create misleading representations or fabricate statements you did not make.

5. Accuracy of Statements

• Your Testimonial reflects your honest and truthful experience.
• You will not knowingly exaggerate or misrepresent results.
• You will not attribute unrealistic or guaranteed outcomes to Company programs.
• Statements related to earnings or health (if applicable) will be factually accurate.
• You are not being compensated except as expressly disclosed.

This is required under FTC Endorsement & Testimonial Guidelines.

6. No Expectation of Compensation

• You are not entitled to payment or royalties for your Testimonial.
• The Company is not obligated to use your Testimonial.
• You waive any right to inspect or approve final use.
• If compensation is provided (rare), it must be disclosed clearly and conspicuously.

7. Right to Request Removal

You may submit a removal request at [email protected]. However:

• Printed/published/permanent materials may not be removable.
• Derivative/edited/AI-transformed versions may remain in circulation.
• The Company may decline removal if required for compliance, documentation, or dispute resolution.

8. Company’s Right to Remove or Discontinue Use

The Company may remove, hide, discontinue, or decline to use a Testimonial at its discretion, including if:

• content becomes outdated
• statements violate law or policy
• accuracy/defamation/misleading concerns arise
• the Testimonial violates community, UGC, or earnings guidelines
• you request removal

9. Representations & Warranties

• You are at least 18 years old.
• You have full legal authority to grant this release.
• The content does not infringe IP, contract, or privacy rights.
• Your statements comply with applicable laws.
• You are not submitting content on behalf of someone else without permission.

10. Release of Liability

To the fullest extent permitted by law, you release the Company from claims arising out of use/editing/summarizing/transforming/publishing your Testimonial and any likeness/identifying information included.

11. Term of License

Duration selected by Participant: Perpetual
